These Terms & Conditions govern all bookings made with the PenniBlack Collective — the group of brands operated by or in association with PenniBlack LDN Ltd ('the Collective', 'we', 'us'). They apply where a client engages two or more Collective brands for a single event, or where services are booked under the Collective umbrella. By confirming a booking you agree to be bound by these terms.

The Collective Model

Multi-Brand Events

The PenniBlack Collective brings together PenniBlack Catering & Events, Raquel's Staffing & Bar, VENN Productions, Free Spirit Wellness, and any future member brands. Where a client engages multiple Collective brands, a single Collective coordinator will manage all brands unless otherwise agreed.

Individual Brand Terms

Where services are delivered by an individual brand within the Collective, the Terms & Conditions specific to that brand (as set out in this document) apply to those services. These Collective Terms govern overall coordination, combined invoicing and collective liability.

Brand Identity & Integrity

Each brand within the Collective maintains its own identity, ethos and standards. No brand's services may be presented or sold as the services of another brand without prior written consent from both brands.

Future Member Brands

The PenniBlack Collective may expand to include additional brands and service providers over time. New brands may be added to the Collective structure without the need to reissue or renegotiate these Terms & Conditions in their entirety. Each new brand will publish its own brand-specific Terms & Conditions, which will sit alongside and be governed by these Collective Terms. Clients will be informed of any new brands relevant to their booking.

Quotations & Confirmation

Quotation Validity

All quotations issued by the PenniBlack Collective are valid for thirty (30) days from the date of issue. After this period, the PenniBlack Collective reserves the right to revise pricing to reflect any changes in supplier costs, staffing rates, equipment hire prices or general market conditions. the PenniBlack Collective will notify the client of any revised pricing before proceeding.

Combined Quotation

Where services from multiple brands are included in a single quotation, the quotation will clearly identify the services and pricing attributable to each brand. Each brand's services are separately priced and subject to that brand's individual minimum spends and terms.

Confirmation

A Collective booking is confirmed upon receipt of a 50% deposit of the total combined quotation and written confirmation of the agreed scope. Bookings within ten (10) working days of the event require 100% payment at confirmation.

Changes to Scope

Changes to the scope of a Collective booking — including adding or removing individual brand services — must be agreed in writing and may affect the overall price and be subject to individual brand amendment terms.

Payment & Cancellations

Combined Invoicing

PenniBlack LDN Ltd will issue a combined invoice on behalf of the Collective. Full payment is required via bank transfer at least seven (7) working days prior to the event.

Late Payment

PenniBlack LDN Ltd / the Collective reserves the right to charge interest on overdue invoices at 8% above the Bank of England base rate per annum, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. Interest accrues from the due date until the date of payment in full. PenniBlack LDN Ltd / the Collective also reserves the right to suspend or withdraw services where payment remains outstanding beyond the agreed terms.

Cancellation Policy

Collective bookings follow the most restrictive cancellation terms applicable across the brands engaged. The following general terms apply to the overall booking:

The Collective will provide a transparent breakdown of any non-recoverable costs at the time of cancellation.

Security Bond

PenniBlack LDN Ltd reserves the right to retain up to 10% of the total booking value as a bond against additional charges, cleaning costs or equipment losses. The bond will be refunded within fourteen (14) days where no additional charges arise.

Venue Access & Equipment

Venue Access Delays

Delays caused by venue restrictions, loading limitations, restricted access, delayed venue opening, lift failure, security procedures or third-party suppliers are outside the control of the Collective. Where such delays result in additional staff time, extended hire periods or other additional costs, these will be charged to the client at the applicable rate.

Equipment Collection

Equipment must be made available for collection at the agreed time and in a reasonable condition. Equipment not available for collection at the agreed time may incur additional collection, storage or labour charges. the relevant Collective brand will not be responsible for any loss or damage to equipment occurring after the agreed collection time where collection has been prevented or delayed by the client or venue.

Waste Removal

Unless specifically included and priced within the confirmed quotation, the removal of venue waste, recycling, event refuse or third-party packaging is excluded from the Collective's services. The client is responsible for ensuring the venue has adequate waste management provisions. Additional waste removal requested on the day may be subject to additional charges.

Coordination & Communication

Single Point of Contact

For Collective bookings, the client will be assigned a single Collective coordinator. All requests, changes and queries should be directed through this coordinator. Direct contact with individual brand teams should only be made by prior arrangement.

Pre-Event Planning

A Collective coordinator will arrange a pre-event planning call or meeting no later than fourteen (14) days before the event. Final details for all brand services must be confirmed at least five (5) working days before the event.

Media, Property & Liability

Photography & Social Media

Unless otherwise agreed in writing, PenniBlack LDN Ltd / the Collective reserves the right to photograph or film the event for portfolio, website, social media, marketing and promotional purposes. No identifiable guests will be named or tagged without consent. Clients requiring confidentiality must notify PenniBlack LDN Ltd / the Collective in writing at least five (5) working days before the event date, and a confidentiality agreement may apply.

Client Property & Personal Valuables

the Collective accepts no responsibility for loss, theft or damage to personal belongings, gifts, equipment, instruments, valuables or any other property brought to the event by the client, guests, third-party suppliers or any other individual. Guests are advised to keep personal valuables secure throughout the event. Where a cloakroom facility is provided, items are left entirely at the owner's own risk.

Liability

PenniBlack LDN Ltd carries full public liability insurance covering the activities of the Collective. Each individual brand also maintains its own relevant insurance. Liability for each brand's services rests with that brand, up to the value of the services invoiced by that brand. The Collective's aggregate liability for any single event is limited to the total value of the confirmed booking.

Force Majeure

Neither the Collective nor the client shall be liable for any failure to perform their obligations where such failure is caused by circumstances beyond reasonable control, including but not limited to extreme weather, transport disruption, strikes, acts of God, government restrictions, terrorism, epidemic, pandemic, venue closure, power failure or utility disruption. In such circumstances the Collective will use reasonable endeavours to reschedule the booking. Any non-recoverable costs already incurred will remain chargeable.

General

These Terms & Conditions are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales. PenniBlack LDN Ltd reserves the right to update these Terms & Conditions. The version in force at the time of booking confirmation applies to that booking.
